Mexico Legal Councel
We are looking for our future Legal & Compliance councel - Mexico to be based in our Puebla site.
ROLE PURPOSE
The Legal & Compliance counsel – Mexico leads the legal and compliance function for the operations in Mexico, providing trusted legal support to local management. The Legal and Compliance counsel will be responsible for supporting the main transactional matters related to the business under the supervision of the General Counsel located in USA and in close cooperation with all stakeholders of the legal community. Beyond this mission, the Legal Counsel will promote an awareness and understanding of regulatory and compliance requirements and ethical principles consistent with the laws and regulations.
KEY MISSIONS — LEGAL
– Become familiar with the automotive industry environment and the key people, activities, products and key risks of automotive businesses; to become an efficient partnership with the business group he/she serves;
– Manage the legal affairs of the above business by advising clients on day to day issues in a wide variety of areas;
– Draft and review a wide range of commercial contracts (with customers, suppliers, service providers, etc ) and legal documents with a special focus on preventing legal risks and litigation;
– Advise business teams and upper management on proposed business strategies, thereby identifying risks to mitigate them,
– Handle or assist in transactional work, such as acquisitions and joint ventures and support business integration activities following such transactions;
– Select, where needed, control and monitor outside legal counsel;
– Manage litigation, disputes and claims, and select and oversee external counsel and legal spend;
– Ensure corporate governance and secretarial administration of the Mexican legal entities.
– Advise on employment and labor-law matters in coordination with HR and Industrial Relations.
KEY MISSIONS — COMPLIANCE
– Oversee compliance within the company to ensure our operational and financial systems and processes are in accordance with relevant legislation within the north American region;
– Customize the Company’s Global Compliance program with the appropriate application to the North American market as well as implement regional procedures to ensure that our compliance programs are effective in identifying, preventing, and addressing non-compliance with applicable legal and regulatory requirements;
– Oversee, monitor and address whistleblower complaints;
– Monitor and analyze deficiencies and irregularities to provide effective solutions;
– Analyze and assess conflicts of interest;
– Assist in identification and drafting of new policies; update/assess existing policies;
– Develop and oversee compliance training for the management and employees;.
– Perform investigations, engage with in-house counsel and external resources to ensure diligent understanding and conclusions to reported issues
EXPERIENCE
The ideal candidate will have:
– Master’s degree in law, bar exam is a plus
– Minimum of 10 experience, with a strong focus on contractual and transactional matters, ideally in the manufacturing industry and/or in an international law firm where he/she has developed a strong capability as a generalist lawyer
– Strong oral and written communication skills in English
– Good editorial skills, synthesis and rigor
– Flexible and creative approach to solving legal problems, with risk management and negotiation skills
